1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and ClayDesk LLC ("Company," "we," "us," or "our"), a company registered at 45 Burgundy Lane, Middletown, CT 06457, United States, concerning your access to and use of the CodeFlowOps website and service.

By accessing or using our service, you agree that you have read, understood, and agree to be bound by these Terms. If you do not agree with these Terms, you must not access or use the service.

Important: These Terms include provisions that limit our liability and require you to resolve disputes with us through binding arbitration and not in court.

2. Eligibility

You must meet the following requirements to use our service:

  • You must be at least 18 years of age
  • You must have the legal capacity to enter into binding contracts
  • You must not be prohibited from using the service under applicable law
  • You must provide accurate and complete registration information
  • You must maintain the security of your account credentials

3. Overview of the Service

CodeFlowOps is a cloud-automation platform that analyzes GitHub repositories, generates or recommends application infrastructure, and deploys workloads to cloud providers such as AWS. The Service includes:

  • Repository analysis and stack detection
  • AI-driven recommendations for infrastructure and deployment
  • Deployment automation to cloud providers
  • Integration with external services (e.g., GitHub, AWS, Stripe)
  • Automated documentation generation using AI technology
  • Multiple documentation format options
  • Real-time streaming generation with progress tracking

The Service may evolve over time with new features, improvements, or updates. We reserve the right to modify, suspend, or discontinue any aspect of the service at any time with or without notice.

4. Account Registration

4.1 Account Creation

You must create an account to access certain features. You agree to:

  • Provide accurate and complete information
  • Keep your login credentials confidential
  • Be responsible for all activities under your account
  • Maintain and promptly update your account information
  • Notify us immediately of any unauthorized access

4.2 Account Termination

We may suspend or terminate accounts that violate these Terms. You may terminate your account at any time by contacting us. We are not liable for loss of data after account termination.

5. Use of the Service

You may use the Service only for lawful and intended purposes. You agree not to:

  • Reverse engineer, copy, or misuse the platform
  • Interfere with or disrupt the Service
  • Use the Service for fraudulent or malicious activities
  • Violate any applicable laws or third-party rights
  • Attempt to gain unauthorized access to our systems
  • Use the service for competitive analysis or to build a competing product
  • Engage in automated scraping or data mining

We may monitor platform usage to maintain system integrity and prevent abuse.

6. Third-Party Integrations

CodeFlowOps integrates with third-party platforms such as:

  • GitHub: Repository access and analysis
  • AWS, GCP, Azure: Deployment operations and infrastructure management
  • Stripe: Billing and subscriptions

By connecting these accounts, you authorize CodeFlowOps to access the necessary permissions to perform operations on your behalf. We are not responsible for downtime, errors, or issues caused by third-party platforms.

7. Data & User Content

"User Content" includes code repositories, configurations, deployment settings, environment variables, and other materials you provide.

  • You retain full ownership of your User Content
  • You grant us a non-exclusive, worldwide, royalty-free license to process, analyze, and use User Content solely for the purpose of operating the Service
  • We do not claim ownership of your source code or cloud resources
  • We implement commercially reasonable security measures to protect your data

8. Infrastructure Deployment & Responsibility

CodeFlowOps can deploy resources to your cloud accounts. You agree and acknowledge:

  • You are responsible for any infrastructure, cloud charges, or resources provisioned
  • You are responsible for securing your AWS/GCP/Azure credentials
  • CodeFlowOps is not liable for misconfigured resources, high cloud bills, or unintended deployment behavior
  • You should always review deployment plans before applying changes

Warning: Always review and validate deployment plans before execution. You are solely responsible for all cloud infrastructure costs and configurations.

9. AI-Generated Output

The Service may produce AI-generated recommendations, configurations, or code. You acknowledge:

  • AI-generated output may not be 100% accurate
  • You must review and validate all generated files before using them
  • We are not liable for damages caused by incorrect or incomplete AI output
  • AI is an assistive tool, not a substitute for human validation

Best Practice: Always review AI-generated documentation and infrastructure configurations before deployment or publication.

10. Subscription Plans & Billing

10.1 Subscription Plans

We offer Free, Pro, and Enterprise subscription tiers. By subscribing:

  • You authorize Stripe to charge your selected payment method
  • Subscriptions automatically renew unless canceled
  • Fees are non-refundable unless required by law
  • Enterprise agreements may involve custom contracts

10.2 Managing Your Subscription

You can manage billing in your account dashboard. Prices are subject to change with 30 days' notice.

11. Cancellation & Termination

You may cancel your subscription at any time. Access will continue until the end of the billing period.

We may suspend or terminate your access if:

  • You violate these Terms
  • You misuse the platform
  • Your payment method fails repeatedly

We are not liable for loss of data after account termination.

12. Intellectual Property

CodeFlowOps, its UI, design, software, trademarks, and proprietary technology are owned by CodeFlowOps LLC (ClayDesk LLC). You may not copy, modify, distribute, or create derivative works of the Service.

You retain all rights to the repository URLs you submit and the documentation generated. By using our service, you grant us a limited license to:

  • Access and analyze the GitHub repositories you specify
  • Process and generate documentation based on your input
  • Store and display generated documentation in your account
  • Use aggregated, anonymized data to improve our service

13. Security

We implement commercially reasonable security measures, but no system is 100% secure.

You agree to:

  • Keep API keys and cloud credentials secure
  • Use strong passwords
  • Report vulnerabilities responsibly

We are not responsible for breaches caused by user negligence.

14. Disclaimers

The Service is provided "AS IS" and "AS AVAILABLE." We make no warranties regarding:

  • Accuracy of AI output
  • Error-free operation
  • Continuous uptime
  • Results of deployments

Use the Service at your own risk. We disclaim all warranties, express or implied, including warranties of merchantability and fitness for a particular purpose.

15. Limitation of Liability

To the fullest extent permitted by law:

  • CodeFlowOps is not liable for indirect, incidental, or consequential damages
  • Our total liability will not exceed the amount you paid in the last 3 months
  • We are not responsible for:
    • Cloud provider charges
    • Data loss
    • Repository corruption
    • Incorrect deployments or configurations

16. Indemnification

You agree to indemnify and hold CodeFlowOps harmless from claims arising out of:

  • Your use of the Service
  • Your code, configurations, or deployments
  • Violations of these Terms
  • Actions taken using your credentials

17. Changes to the Terms

We may update these Terms at any time. Changes become effective upon posting. Continued use of the Service means you accept the updated Terms.

18. Governing Law

These Terms are governed by the laws of the State of Connecticut, without regard to conflicts of law principles. Any disputes will be resolved in courts located in Connecticut, USA.

BY USING THE SERVICE, YOU ACKNOWLEDGE THAT YOU HAVE READ THESE TERMS OF SERVICE, UNDERSTAND THEM, AND AGREE TO BE BOUND BY THEM. IF YOU DO NOT AGREE TO THESE TERMS, YOU MUST NOT USE THE SERVICE.

These Terms of Service are effective as of November 25, 2025. Your continued use of CodeFlowOps after changes are posted constitutes acceptance of the updated Terms.
